The club have offered the Argentine forward a two-year deal but he is poised to turn it down in favour of a move to the Championship.
Ledesma's agent Lucas Cominelli confirmed he is talking to Middlesbrough and the 23-year-old doesn't see his future at the Banks's Stadium.
"We're talking with Middlesbrough but nothing has been signed yet," said Cominelli.
"We are just awaiting the offer and we will see from there.
"There are two other clubs also interested from the Championship so we will see, Emmanuel is not in a hurry, he is calm.
"But Middlesbrough are who we are talking to now and are ahead of anyone else."
"Emmanuel was very happy with Walsall, they welcomed him in and did very well for him.
"He has nothing against playing for Walsall, but playing in the Championship would be an obvious step up for him. He knows all about that level having been there with QPR and is keen to return."
Ledesma scored four goals in 10 games after returning to the Saddlers following a year away to help them to League One safety.
He first joined in February 2011, scoring once in 10 games, to aid Walsall's Great Escape last season but returned to Argentina after turning down a fresh offer after his partner failed to settle in England.
Ledesma will be the first player to reject the Saddlers after being offered a contract ahead of the June 19 deadline.
Manny Smith, Mat Sadler, Darryl Westlake, David Grof and Lee Beevers are currently considering new deals.
Meanwhile, Ryan Jarvis, released by the Saddlers this week, has been offered a one-year deal at Torquay.
The striker, who scored three goals for Walsall, spent two months on loan at the Gulls as they lost in the League Two play-offs to Cheltenham.
Torquay boss Martin Ling, who worked with Jarvis at Leyton Orient, added: "We could have a really good player and he has been offered a one-year contract to prove to me that there is a good player in there."
