Swan ruled himself out of the running to buy the Blue Square Premier outfit before Christmas, after a second failed attempt at a takeover, but has now returned with a third bid.
The 52-year-old's offer was today accepted by board members Wayne Allen, Keith Chandler and chairman Mark Serrell.
The deal will see Harriers change hands for £1, with the new owner putting in around £150,000 to keep the club afloat between now and the end of the season.
There is also a plan for a group of, so far, unnamed Harriers fans to pay off the club's outstanding debts to Her Majesty's Revenue and Customs.
The players also need to be paid on Monday, a huge outgoing each month with which an instant cash injection would ease the burden.
It could even mean top scorer Chris McPhee, who was transfer-listed by the club to get him off the wage bill, might have a future at Aggborough if the takeover is completed.
Team-mate David Hankin, who helped set up the 11-goal utility man for Harriers' equaliser in last night's 1-1 draw at Forest Green, certainly hopes so.
He said: "Chris just keeps scoring! All the lads are behind 'Macca,' he has been absolutely superb this season.
"Personally I would love him to stay, because he has been one of our best players."

After meeting today to discuss the latest offer, board members Wayne Allen, Keith Chandler and chairman Mark Serrell have agreed to the deal.
They turned down Swan's last bids in December and October of last year but, with the latest development, ownership of the club could change hands within days.
